Stage-by-stage design
- Founding stage: share ratios, control, dividend and exit arrangements — so partnerships do not fall apart later;
- Financing and expansion: option pool reserves, multi-entity and holding-platform structures, and review of the tax clauses in investment terms;
- Capital markets stage: pre-IPO equity clean-up, reconstruction of historical ownership and normalisation of irregularities.
Registered capital is a liability cap, not a status symbol
A subscribed amount still has to be paid, and shareholders are liable up to what they subscribed. We set registered capital according to the actual business need and risk tolerance, rather than copying competitors.
Liquidation and M&A support
Where an entity is exiting or a structure is being reorganised: liquidation procedure, creditor and debtor settlement, and the hand-off between tax clearance and company deregistration. Ahead of any acquisition we run financial and tax due diligence, so the old books are settled before the decision to take over.
